Developer Agreement

Developer Agreement

Version 0.2.0

This Developer Agreement ("Agreement") is between SSP Systems Ltd. ("SSP", "we") and the individual or entity registering a developer account ("Developer", "you"). It governs your use of the SSP developer platform, including the developer portal, APIs, developer sandboxes, and developer keys (collectively, the "Developer Services").

1. Acceptance and related documents

By registering a developer account or using the Developer Services you agree to this Agreement, the API Terms, the Plugin Distribution Agreement, and the Acceptable Use Policy. Where those documents conflict with this Agreement on a subject they specifically address, they govern that subject.

2. Developer identity

You must register using a verified legal entity name — the legal person capable of entering into contracts — not only a display or trading name. Any end-user licence covering a plugin you distribute must name that same entity as licensor. You will keep this information accurate and notify SSP of any change of controlling entity.

3. Developer accounts and keys

You are responsible for all activity under your developer account and API keys. Keys are personal to your account, must be kept confidential, must not be shared or embedded in client-side code, and must be rotated or revoked promptly if you believe one is compromised. SSP may revoke any key at any time.

4. Licence to the Developer Services

SSP grants you a limited, non-exclusive, non-transferable, revocable licence to access the Developer Services solely to build, test, and support plugins for the SSP platform. You will access only the scopes your plugin has declared and that a restaurant has granted.

5. Sandboxes

Developer sandboxes contain synthetic data for testing only. You must not use sandbox access to reach, infer, or attempt to reach production tenant data, and must not load real personal data into a sandbox.

6. Submission and review

SSP may review submissions before publication. Review is not a warranty. SSP does not represent that a reviewed or certified plugin is secure, error-free, or fit for any purpose, and review does not transfer responsibility for your code to SSP. SSP is under no obligation to review, publish, or continue distributing any plugin.

7. Security obligations

You will maintain reasonable security practices appropriate to the data your plugin handles; disclose any vulnerability affecting SSP or its customers promptly on discovery; remediate confirmed vulnerabilities without undue delay; and notify SSP without undue delay after becoming aware of any security incident affecting SSP data or restaurant data.

8. Data protection

You must handle any SSP, restaurant, or diner data accessed through the APIs in accordance with the API Terms and applicable law, including PIPEDA, Québec's Law 25, and the GDPR where applicable. You must not use such data for any purpose beyond operating the plugin for the restaurant that installed it, and must delete it on termination as set out in §12.

9. Intellectual property

You retain ownership of your plugin code. You grant SSP a non-exclusive licence to host, reproduce, display, and distribute your plugin and its listing materials for the purpose of operating the marketplace, and to use your name and logo to identify you as a developer.

10. Your warranties and indemnity

You warrant that you have the right to grant the licences here, that your plugin does not infringe third-party rights, that it contains no malicious code, and that it complies with applicable law.

You will indemnify, defend, and hold harmless SSP and the restaurants that install your plugin against claims, losses, and reasonable costs arising from your plugin, your breach of this Agreement, or your handling of data. The obligation to restaurants is deliberate: it lets a claim be resolved by the party responsible for the code.

11. Suspension and takedown

SSP may suspend, disable, or remove any plugin or developer account immediately and without prior notice where SSP reasonably believes there is a security risk, a legal risk, or a breach of this Agreement or the Acceptable Use Policy. Any dispute is resolved after the fact; the right does not depend on prior proof.

12. Term, termination, and data deletion

Either party may terminate on notice. On termination or removal of a plugin, SSP will revoke your keys, and you will cease accessing SSP APIs and delete restaurant and diner data obtained through them within thirty (30) days, except where retention is required by law. SSP may require written confirmation of deletion.

Where a plugin has installed restaurants at termination, SSP may allow a reasonable wind-down period so those restaurants are not disrupted without notice.

13. Disclaimers and limitation of liability

The Developer Services are provided "as is" to the fullest extent permitted by law.

14. Changes to this Agreement

SSP may publish updated versions. Material changes require re-acceptance in the developer portal; you will not be able to use the portal until you accept the current version. Each acceptance is recorded with its version, timestamp, and originating IP address.

15. Governing law

[Counsel to specify governing law and forum — expected Ontario, Canada — and to confirm whether arbitration is workable for developers outside Canada.]

ÉBAUCHE — CECI NE CONSTITUE PAS UN AVIS JURIDIQUE. Modèle provisoire en attente de révision par les conseillers juridiques de SSP Systems Ltd. En cas de divergence entre les versions, la version anglaise prévaut jusqu'à ce qu'une traduction certifiée soit publiée.

La présente Entente de développeur (l'« Entente ») intervient entre SSP Systems Ltd. (« SSP », « nous ») et la personne physique ou morale qui ouvre un compte de développeur (le « Développeur », « vous »). Elle régit votre utilisation de la plateforme de développement SSP, y compris le portail des développeurs, les API, les bacs à sable et les clés de développeur (collectivement, les « Services de développement »).

1. Acceptation et documents connexes

En ouvrant un compte de développeur ou en utilisant les Services de développement, vous acceptez la présente Entente, les Conditions d'utilisation des API, l'Entente de distribution de modules et la Politique d'utilisation acceptable.

2. Identité du développeur

Vous devez vous inscrire sous une dénomination légale vérifiée — la personne morale habilitée à contracter — et non uniquement sous un nom commercial. Toute licence d'utilisateur final visant un module que vous distribuez doit désigner cette même entité à titre de concédant.

3. Comptes et clés

Vous êtes responsable de toute activité effectuée au moyen de votre compte et de vos clés API. Les clés sont confidentielles, ne doivent pas être partagées ni intégrées à du code exécuté côté client, et doivent être révoquées sans délai en cas de compromission présumée.

4. Licence

SSP vous accorde une licence limitée, non exclusive, incessible et révocable d'accès aux Services de développement, aux seules fins de concevoir, tester et soutenir des modules destinés à la plateforme SSP.

5. Bacs à sable

Les bacs à sable contiennent des données synthétiques destinées uniquement aux essais. Il est interdit d'y charger des renseignements personnels réels ou de tenter d'atteindre des données de production.

6. Soumission et examen

SSP peut examiner les soumissions avant leur publication. L'examen ne constitue pas une garantie. SSP ne garantit pas qu'un module examiné ou certifié est sécuritaire, exempt d'erreurs ou adapté à un usage particulier.

7. Obligations de sécurité

Vous maintiendrez des pratiques de sécurité raisonnables, signalerez sans délai toute vulnérabilité et tout incident de sécurité touchant les données de SSP ou des restaurants, et corrigerez les vulnérabilités confirmées dans les meilleurs délais.

8. Protection des renseignements personnels

Vous traiterez les données obtenues au moyen des API conformément aux Conditions d'utilisation des API et au droit applicable, notamment la LPRPDE, la Loi 25 du Québec et le RGPD, le cas échéant.

9. Propriété intellectuelle

Vous demeurez propriétaire du code de votre module. Vous accordez à SSP une licence non exclusive d'héberger, de reproduire, d'afficher et de distribuer votre module aux fins d'exploitation de la place de marché.

10. Garanties et indemnisation

Vous garantissez détenir les droits nécessaires, ne porter atteinte à aucun droit de tiers et ne pas diffuser de code malveillant.

Vous indemniserez SSP ainsi que les restaurants qui installent votre module à l'égard des réclamations et des pertes découlant de votre module, de votre manquement à la présente Entente ou de votre traitement des données.

11. Suspension et retrait

SSP peut suspendre ou retirer tout module ou compte immédiatement et sans préavis en cas de risque de sécurité, de risque juridique ou de manquement.

12. Durée, résiliation et suppression des données

À la résiliation, SSP révoquera vos clés et vous supprimerez, dans les trente (30) jours, les données de restaurants et de convives obtenues au moyen des API, sauf conservation exigée par la loi.

13. Exclusions et limitation de responsabilité

Les Services de développement sont fournis « tels quels », dans la mesure permise par la loi. [Clauses à fournir par les conseillers juridiques.]

14. Modifications

SSP peut publier de nouvelles versions. Une modification importante exige une nouvelle acceptation dans le portail; l'accès au portail est bloqué jusqu'à l'acceptation de la version courante.
